1. Acceptance
By accessing or using the Portfolio TVPI Spectrum® Generator ("the Service") you agree to these Terms of Use. If you do not agree, do not use the Service.
2. Service Description
The Service is a free, browser-based tool that generates a dual variwide diagram from fund-portfolio inputs you provide. All computation happens client-side; no fund data is transmitted to AQAL Capital GmbH.
3. License to Use the Service
AQAL Capital GmbH grants you a non-exclusive, non-transferable, revocable, royalty-free license to use the Service at tvpispectrum.com for lawful purposes, including commercial use.
This license covers use of the hosted website and the diagrams it produces. You may include the generated SVG/PNG output in your own materials — including commercial materials such as fund reports, pitch decks, investor letters, and publications — provided the embedded credit line "Diagram design by AQAL Capital. Get your own TVPI Spectrum® here." and its hyperlink to tvpispectrum.com remain intact and unaltered.
4. Restrictions — No Copying of the Code or Design
The license in §3 does not grant you any right to the underlying software. In particular, you may not:
- copy, download, mirror, fork, redistribute, or republish the HTML, CSS, JavaScript, or other source files of this Service, in whole or in part;
- host, deploy, or operate the Service (or any derivative) on your own domain, intranet, or any other infrastructure;
- reverse-engineer, decompile, or otherwise attempt to derive the source code beyond what is strictly necessary for personal, non-commercial inspection in a browser's developer tools;
- remove, obscure, or alter any copyright, trademark, credit line, or attribution embedded in the Service or its output;
- use the Service, the "TVPI Spectrum®" mark, the chart design, or the visual layout to develop a competing product or service;
- use automated means (scrapers, headless browsers, bots) to bulk-generate diagrams or to extract the source code.
All rights in the Service — including the source code, the chart design, the visual layout, the "TVPI Spectrum®" mark, and all related materials — are owned by AQAL Capital GmbH and are protected by copyright, trademark, and unfair-competition law. "TVPI Spectrum" is a registered trademark of AQAL Capital GmbH (EUIPO No. 019373280).
5. "As Is" — No Warranty
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including (but not limited to) warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that the generated diagrams are mathematically or financially correct for your specific use case.
6. No Investment Advice
The Service is a visualization tool. Diagrams generated with it are not investment advice, financial advice, a recommendation, a solicitation, or an offer to buy or sell any security or fund interest. See our Disclaimer for details.
7. Limitation of Liability
To the extent permitted by law, AQAL Capital GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service. Liability for damages caused by intent or gross negligence, for injury to life, body, or health, and under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.
8. Changes to the Service
We may modify, suspend, or discontinue the Service at any time without notice.
9. Governing Law & Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Where permitted by law, the exclusive place of jurisdiction is Munich, Germany.
10. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
